Art. 1 Name
The name of this organization is the International Federation of Renal Registries
Art. 2 Purpose
The purposes of the Federation are:
- to bring together investigators in renal epidemiology
- to improve dialogue between the Renal Registries for the standardization of renal databases;
- to define the causes leading to end-stage renal disease;
- to improve common terminology and methodology for the inclusion and analysis of clinical findings;
- to promote international collaborative studies;
- to disseminate information on the results of the renal registries through publications, scientific meeting and website of the Federation.
Art. 3 Membership
- The Founder Members of the Federation are the chairmen of the national and international renal registries and investigators in renal epidemiology;
- All members of renal registries and nephrology societies may apply for membership;
- The term Member shall mean both founder and non founder member.
Art. 4 Management
- The management of the Federation shall be vested in a Federation Board which is the executive body of the Federation.
- The Federation Board will consist of:
a) three ex-officio members namely: the President, the Vice-President and the Secretary
b) six ordinary members
All members shall serve for three year - terms and they will be eligible for an other three year - term. After these two periods, they will not be eligible for immediate reappointment.
Art. 5 Appointment of the ex-officio members of the Board
- The President, the Vice-President and the Secretary are ex-officio-members of the Board and will be elected directly by the Board.
- The nomination will take place one year before the expiry expiration date of the term of the office of the ex-officio member. During the period between the election and its becoming effective, the newly appointed ex-officio member may take part in those Board meetings to which he/she has been invited by the President, with no voting rights.
- Candidates shall forward to the Secretary their nomination proposal which shall specify the office for which the candidate submits his/her nomination. The nomination proposal shall be sent to the Secretary at least three months prior to the Board shall vote.
- The election will be made by secret ballot.
- Should an ex-officio member cease to hold office prior to the end of his/her term of office, a new ex-officio member shall be elected by the Board.
Art. 6 Appointment of the ordinary members of the Board
- Ordinary members of the Board will be elected by the members of the Federation. Each candidate for ordinary membership of the Board should be a member of the Federation and shall be proposed in writing to the Board by two other members of the Federation, to be communicated at least three months in before the ballot.
- Members will be elected by secret ballot.
- Should an ordinary member of the Board cease to hold office prior to the end of his/her term of office, a new ordinary member shall be elected by the Board.
Art. 7 General Assembly
- The General Assembly is the supreme authority of the Federation. The General Assembly can be ordinary or extraordinary.
- The ordinary General Assembly will be held once a year.
- The extraordinary General Assembly is a General Assembly summoned in special circumstances.
- Notice of the General Assembly will be given by letter sent by the Secretary of the Board to all members and will include the Agenda prepared by the Board and approved by the President. The Agenda must be sent to members at least 30 days before the date of the General Assembly and shall include indication of date and venue of the General Assembly.
- The General Assembly will be presided by the President.
- Resolutions of the General Assembly shall be passed by a show of hands unless a secret ballot is requested by one third of the members present at the Assembly.
- The General Assembly can amend the constitution and dissolve the Federation. To carry this out there must be present at least half of the total number of members entitled to vote.
- An extraordinary General Assembly can be summoned whenever the Board considers it necessary.
Art. 8 Annual Report
- The Board shall prepare an annual report.
Art. 9 Amendments
- Amendments to this Constitution may be proposed by any member of the Board at least 60 days prior to the meeting of the Board. The proposal shall then be referred to the General Assembly of the Federation for discussion and instruction. The amendment shall be adapted when approved at a duly called meeting by at least 50% of the participants of the General Assembly.
Art. 10 Final rules
- This constitution is adopted on the date mentioned above by the persons when signatures appear at the bottom of this document.
